Affiliates Terms of Service

1. Introduction
These terms govern your participation in the European Listings Affiliate Programme (the "Programme"). By applying to or participating in the Programme, you agree to be bound by these terms in full.
The Programme is operated by European Listings Ltd ("we", "us", "our"). References to "you" or "affiliate" mean the individual or entity accepted into the Programme.
2. Eligibility and Application
2.1 To apply, you must be at least 18 years old and have the legal capacity to enter into a binding agreement.
2.2 You must own or operate a website, newsletter, social media account, or other digital platform through which you will promote European Listings. You agree to provide accurate information about your platform(s) at the time of application.
2.3 We reserve the right to accept or reject any application at our sole discretion, without obligation to provide a reason.
2.4 You may not participate in the Programme if you are a current employee, contractor, or director of European Listings Ltd or any of its associated entities.
2.5 We reserve the right to terminate your participation at any time if we determine that you no longer meet our eligibility criteria.
3. Your Affiliate Link and Tracking
3.1 Upon acceptance into the Programme, we will provide you with a unique tracking link ("Affiliate Link"). You must use this link for all promotional activity to ensure referrals are attributed to your account.
3.2 A referral is recorded when a user clicks your Affiliate Link and completes a paid subscription to a European Listings membership plan within the applicable attribution window. The current attribution window is 90 days from the date of the click. We may change the attribution window by giving you 30 days' written notice.
3.3 You are responsible for ensuring your Affiliate Link is implemented correctly. We are not liable for commissions lost due to incorrect implementation, ad blockers, technical issues on your end, or user behaviour that prevents tracking.
3.4 Referrals generated through your own subscription, the subscription of any immediate family member, or any other self-referral method are not eligible for commission.
4. Commission Structure
4.1 You will earn a commission of 30% of the net subscription revenue received by European Listings Ltd from each subscriber you refer, for as long as that subscriber maintains an active paid subscription ("Recurring Commission").
4.2 "Net subscription revenue" means the subscription fee actually received by us, excluding VAT, payment processing fees, refunds, and chargebacks.
4.3 Commission is earned only on direct subscription payments. It does not apply to gifted subscriptions, promotional or discounted trials offered free of charge, or any ancillary purchases.
4.4 If a referred subscriber upgrades their subscription tier, your commission will be recalculated based on the new tier price from the date of upgrade. If they downgrade, your commission will similarly adjust.
4.5 If a referred subscriber cancels and later re-subscribes using a different link or without a referral attribution, the re-subscription will not be attributed to you.
4.6 We reserve the right to modify the commission rate or structure at any time by giving you 30 days' written notice. Changes will not apply retrospectively to commissions already earned.
5. Payment
5.1 Commissions are paid on a monthly basis, typically within 30 days of the end of the calendar month in which the commission was earned, subject to the minimum threshold in clause 5.2. Please note that once a payout is initiated, processing via our payment platform may take up to an additional 5 business days, and bank transfer can take a further 1–14 business days depending on your location. The 30-day period refers to when we initiate the payout, not when funds arrive in your account.
5.2 The minimum payout threshold is $50 USD (or equivalent). If your balance does not reach this threshold in a given month, it will roll over to the following month.
5.3 Payments are processed through our affiliate platform, Dub (dub.co). To receive payment, you must create a Stripe Express account via the Dub partner dashboard and complete all required identity verification. If Stripe Express is not available in your country, PayPal may be available as an alternative. You are responsible for maintaining a valid, active payout method in your Dub account. We are not responsible for payment delays or failures caused by incomplete account setup, incorrect details, or Stripe/PayPal availability in your country.
5.4 You are solely responsible for any taxes, duties, or levies arising from commission payments made to you. Our affiliate platform (Dub) automatically collects the required tax documentation as part of onboarding: US-based affiliates will be required to complete a W-9 form; non-US affiliates will be required to complete a W-8 form confirming they are not US residents for tax purposes. Completion of the relevant tax form via the Dub platform is a precondition to receiving payment. We will provide an annual summary of payments made to you upon request.
5.5 We reserve the right to withhold payment if we reasonably suspect fraudulent activity, a breach of these terms, or a chargeback dispute relating to referred subscriptions.
6. Promotional Standards
6.1 You agree to promote European Listings honestly, accurately, and in a way that reflects the quality and values of the brand. You must not make false or misleading claims about our products, services, or pricing.
6.2 You must clearly and conspicuously disclose your affiliate relationship with European Listings in all promotional content, in accordance with applicable advertising standards. In the UK, this means following the ASA/CAP Code and any relevant CMA guidance. In other territories (including the US), you must comply with FTC disclosure requirements where applicable. A disclosure such as "This post contains affiliate links. I may earn a commission if you subscribe." placed prominently near the link is acceptable.
6.3 You must not use paid search advertising (including Google Ads or Meta Ads) that bids on branded terms including "European Listings", "europeanlistings.com", or close variations, without our prior written consent.
6.4 You must not use spam, unsolicited messaging, or any form of automated promotional activity not approved by us.
6.5 You must not promote European Listings on platforms or through channels that contain illegal content, content that promotes hatred or discrimination, or content that we reasonably consider to be damaging to our brand reputation.
6.6 We reserve the right to request that you remove or amend any promotional content that we consider to be inaccurate, misleading, or in breach of these terms. You agree to comply with any such request promptly.
7. Intellectual Property
7.1 We may provide you with approved marketing materials, logos, copy, and images for use in your promotional activity ("Brand Assets"). You may only use Brand Assets that we have expressly approved and only in the manner we specify.
7.2 You must not alter, distort, or combine our Brand Assets with other material in a way that misrepresents our brand.
7.3 You do not acquire any intellectual property rights in our Brand Assets, brand name, or trademarks by participating in the Programme. All rights remain with European Listings Ltd.
7.4 We may use your name and platform name for the purpose of identifying you as an affiliate partner (e.g. in a "Partners" page), unless you ask us not to.
8. Prohibited Activities
You must not:
Generate fictitious clicks, impressions, or referrals through any automated, artificial, or fraudulent means
Offer cash rebates, partial commission-sharing, or any other incentive to users in exchange for subscribing through your link, without our prior written consent
Place your Affiliate Link in email spam, pop-up ads, or any unsolicited communication
Misrepresent your affiliation with European Listings or suggest that you are employed by or an official spokesperson of the company
Use cookie stuffing, forced redirects, or any other technique designed to inflate referral attribution
Promote the Programme on content networks, toolbars, or browser extensions without our prior written approval
9. Suspension and Termination
9.1 Either party may terminate participation in the Programme at any time by giving the other 14 days' written notice.
9.2 We may suspend or terminate your participation immediately, without notice, if we reasonably believe you have: breached any provision of these terms; engaged in fraudulent activity; caused reputational damage to European Listings; or violated any applicable law.
9.3 Upon termination, your Affiliate Link will be deactivated and you will no longer earn commission on new referrals. Any legitimately earned commissions up to the date of termination will be paid out at the next payment cycle, provided the minimum threshold is met, unless termination was due to fraud or material breach, in which case we reserve the right to withhold payment pending investigation.
9.4 Upon termination, you must remove all Affiliate Links and Brand Assets from your platforms promptly.
10. Liability and Disclaimers
10.1 We make no guarantee as to the amount of commission you will earn. Commission depends entirely on your referral activity and the subscription behaviour of users you refer.
10.2 We are not liable for any indirect, consequential, or loss-of-profits claims arising from your participation in the Programme, including any changes to commission rates, the Programme structure, or our products.
10.3 We reserve the right to modify, suspend, or close the Programme at any time. If we close the Programme entirely, we will give affiliates 30 days' written notice and will pay all legitimately earned commissions accrued to that point.
10.4 Our total liability to you under or in connection with these terms shall not exceed the total commissions paid to you in the three months preceding the event giving rise to the claim.
11. Relationship Between the Parties
You are an independent contractor. Nothing in these terms creates an employment, agency, joint venture, or partnership relationship between you and European Listings Ltd. You have no authority to bind us contractually or to make representations on our behalf.
12. Confidentiality
You agree to keep confidential any non-public information we share with you in connection with the Programme, including commission rates, conversion data, and any information marked as confidential. This obligation survives termination of your participation.
13. Changes to These Terms
We may update these terms at any time. We will notify you of material changes by email to the address associated with your affiliate account. Your continued participation in the Programme after the notice period constitutes acceptance of the updated terms. If you do not accept the changes, you may terminate your participation before the changes take effect.
14. Governing Law and Disputes
These terms are governed by the laws of England and Wales. Any dispute arising from or in connection with these terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
